1. Purpose of the contract:

2. After having visited the Club's facilities and having taken note of the services offered, the Subscriber declares that they have subscribed to a personal and non-transferable Muscle&You subscription contract (hereinafter the "Contract") authorizing them to use the self-service facilities with unlimited access within opening hours, as part of the chosen basic package including: cardio-training, free weight training, guided weight training, group classes and according to a price and financial terms indicated on the registration form.

Muscle&You contract for an indefinite period:

1. The year-round contracts offered by Muscle&Vous are concluded for an indefinite period. A non-compressible period is expressly provided for. The expression hereinafter referred to as “incompressible period” corresponds to 12 effective monthly direct debits. It should be noted that the free months for sponsorship are assimilated to actual debits and that the free months for sponsorship will only be counted when the registration of the godchild is confirmed by a first debit without incident from the latter.
    

2. Non-use of facilities or non-attendance at the premises does not justify non-payment of the subscription. The price, and any potential promotion defined at the time of registration, is guaranteed for the non-reducible period and according to the conditions of the promotion (except in the event of a change in VAT rates). Any promotion will only be valid if the commitment of 12 direct debits is respected. Otherwise, each month will be recalculated WITHOUT any promotion.

3. During the said non-reducible period, the Subscriber has the option to terminate the Contract only for reasons related to the occurrence of a force majeure event as defined in Article 7. Beyond this non-reducible period, the subscription is renewed each month, and it is the Subscriber's responsibility, if they wish, to terminate the contract at any time and for any reason, subject to 30 days' notice. Monthly payment will be made by SEPA mandate. By signing the SEPA mandate, you authorize Muscle&Vous to send instructions to your bank to debit your account according to your banking agreement. An annual fee of ten euros will be charged for equipment maintenance and renewal.

4. In the event of a change in banking details, Muscle&Vous reserves the right to temporarily deactivate the membership card until the member provides complete details accompanied by the signed debit authorization. The period during which the card is deactivated remains due, and no deduction will be made from the debits.

5. The Club reserves the right to request a security check. This check will never be cashed except in the case of deliberate damage to the premises or the equipment provided, payment incidents to recover due amounts, or non-payment of the notice period. The security check will be returned to the Subscriber upon termination of the subscription after the non-reducible period or in the case of early termination (in accordance with Article 7). A new security check will be required once the validity period of the said check or bank card has expired.

6. Once a year, a direct debit of €10 will take place for the maintenance and renewal of equipment.

7. Access Conditions:

8. The Subscriber, with a valid card, is authorized to enter the Club premises and use the facilities within the displayed opening hours or according to the chosen package hours. The membership card is mandatory, strictly personal, and cannot be lent or transferred under any circumstances. Loss of the membership card incurs a fee of €5 (five euros), payable on the day of the issuance of the new card. Opening hours may be modified if necessary for the club. Any modifications will be communicated to the Subscriber (closure for renovations, holidays, force majeure, etc.). The Subscriber agrees to maintain appropriate behavior and attire at all times and to foster relationships based on mutual respect (see Internal Regulations). The Subscriber declares having read the internal regulations.

9. Medical Certificate:

10. In case of a medical condition, the Subscriber is required to provide a medical certificate within 30 days after signing the contract, allowing the Club to advise them on the appropriate sports activities. Failing this, the Subscriber declares that their health condition allows them to practice the activities offered by the Club and, more specifically, to use the services, equipment, and facilities. The Subscriber declares that they do not suffer from any disease, particularly cardiac or respiratory conditions, injuries, or physical disabilities preventing them from engaging in the activities and services under the Contract. Individuals prone to epileptic seizures or other medical conditions that may complicate emergency interventions must explicitly inform the Club. The Subscriber acknowledges being informed of and aware of the risks associated with the Club Muscle&Vous's sports activities. In any case, this article does not exempt the Club from its obligations regarding information and advice.

11. Civil Liability / Personal Injury:

12. The Club is insured for damages involving its civil liability, that of its staff, and that of its Subscribers, in accordance with Article L.321-1 of the Sports Code. This insurance covers the Club against financial consequences resulting from liability incurred for damages caused to others due to operations: bodily and material damages. On their part, the Subscriber is encouraged to subscribe to a personal Civil Liability insurance policy covering any damages they may cause to third parties during Club activities. In accordance with Article L.321-4 of the Sports Code, the Club informs the Subscriber of the importance of subscribing to a personal insurance contract.

13. Lockers and Storage:

14. The Subscriber may use individual lockers with traditional locks, limited to the duration of their session. When using a traditional locker, the Subscriber is required to bring their own padlock to secure it. The padlock is and remains the property of the Subscriber. The locker used by the Subscriber is considered a temporary loan for the session duration. It is expressly reminded that lockers are not under specific surveillance; therefore, it is recommended not to store valuables. The Subscriber cannot hold Muscle&Vous responsible in case of theft, vandalism, or damage. Leaving personal belongings inside lockers after leaving the Club is strictly prohibited. Every evening, padlocks will be systematically cut without the member being entitled to compensation.

15. Contract Termination and Non-Renewal Procedures:

16. At the Subscriber's Initiative:

17. Contract termination during the non-reducible period, as defined in the signed Subscription Contract, is strictly limited to the cases outlined in Article 7. After the non-reducible period, the Subscriber has a unilateral right to terminate, which they can exercise by sending a registered letter with acknowledgment of receipt to the Club's address: Muscle&Vous, 3 allée Louise Michel, 76320 St Pierre-lès-Elbeuf, or by filling out a termination request form at the Club's reception, after settling any outstanding payments. The notice period is 30 days, starting on the first day of the month following the receipt of the termination request. To be definitively validated, termination initiated by the member must be followed by the return of the Membership Card no later than the end of the notice period, which is contractually due and will be deducted (or a check will be cashed). In all cases, termination will only be effective once any outstanding payments, if applicable, have been settled. Otherwise, the subscription will be extended until full payment of the arrears and the resulting months.

18. Prices applicable are those indicated in the Contract by Muscle&Vous and correspond to the rates practiced by the Club and displayed at the reception at the time of contract acceptance. If a price increase occurs during contract extensions, you will be informed by individual mail at least 2 months before its implementation, and you may terminate the Contract without penalty under "Force Majeure." However, any price change initially planned at contract signing does not fall under this clause.

19. At the Club’s Initiative:

20. 1. The Club may terminate the subscription as of right, without notice or compensation, if the attitude, behavior, or attire of the Subscriber is contrary to good morals, disrupts the proper functioning of activities or public order, causes significant inconvenience to other Subscribers, or does not comply with this contract or the Club’s internal regulations.

    2. This right of termination must be preceded by a contradictory debate with the Subscriber, during which they will have the opportunity to contest the measure and justify their behavior.

    3. The termination of the subscription will be pronounced (after settling any outstanding payments) if the Club is not convinced by the reasons given by the Subscriber.

    4. However, if the termination decision made by the Club is not satisfactory to the Subscriber, they may resort to mediation, in particular under Article L 612-1 of the Consumer Code.

    5. In any case, termination will only take effect once all outstanding payments have been settled. If not, the subscription will be extended until the arrears and the additional months resulting from this extension have been paid, without the Subscriber being able to use the Club’s facilities.

    6. If, after being given formal notice, you still fail to meet your payment obligation, you will be considered in default. We may then transfer the case to a debt collection agency. We will also be entitled to terminate the contract with immediate effect. You will then be liable for all subscription fees that should have been paid during the contract period, plus collection fees incurred after obtaining an enforcement order.

    7. Applicable Prices

    8. The prices applicable are those indicated in the contract by Muscle&Vous and correspond to the rates practiced by the Club and displayed at the Club’s reception at the time of contract acceptance.

    9. If a price increase occurs during the contract extension periods, you will be informed by individual mail at least two months before it takes effect. You may terminate the contract without penalty for the reason of "Force Majeure." However, any price modifications initially provided for at the time of contract signing remain applicable.

    10. Prices are inclusive of VAT, corresponding to the sum of pre-tax amounts with the applicable VAT rate. Muscle&Vous reserves the right to apply any new tax or VAT rate changes upon their entry into force.

    11. Prohibited Activities

    12. It is prohibited to offer personal training services in our Clubs or engage in other commercial activities. Personal training services may only be provided by our trainers and personal coaches, whether independent or not, with whom we exclusively cooperate.

    13. Failure to comply with this rule will result in the immediate termination of the contract, and Muscle&Vous may seek compensation for any damages incurred, if applicable.

    14. Force Majeure Cases

    15. The Subscriber acknowledges that the contract grants them the right to use the Club’s facilities and benefit from the stated services. In the event of permanent inability to exercise this right due to a force majeure event—such as health reasons, professional obligations, or relocation (more than 35 km from a Muscle&Vous center)—the Subscriber may request termination of the contract, even during the non-cancellable period, by providing mandatory supporting documentation, as defined in Article 6.

    16. Any promotional offer will only be valid if the 12-payment commitment is fulfilled. Otherwise, each month will be recalculated WITHOUT the promotion.

    17. Termination will only be effective when the following conditions are met:

    20. Submission of supporting documents

    21. Settlement of any outstanding payments

    22. "Health or professional reasons" refer to a permanent inability to benefit from the Club’s services and not a temporary impediment. The Club reserves the right to verify the authenticity of the supporting documents presented by the Subscriber.

    23. For any temporary impediment (exceeding one month) due to health or professional reasons (excluding annual leave), the Subscriber may suspend their subscription during the impediment period. This is subject to prior notification to the Club and submission of supporting documents within seven days of the interruption.

    24. For health-related decisions, such as COVID-19, a suspension request form is available on the website https://www.muscleetvous.com/Covid19, or the request can be sent via email to muscle.vous.direction@gmail.com.

    25. The subscription will resume once the impediment has ended, and the end date of the non-cancellable period will be postponed by the number of suspended months. In any case, after the non-cancellable period, the Subscriber remains free to terminate the contract as defined in Article 6.

    26. Data Protection & Surveillance

    27. The electronic processing of the Subscriber's file is subject to the French Data Protection Law of January 6, 1978, granting a right of access, rectification, and opposition to the data. To exercise this right, the Subscriber must contact the Club's reception.

    28. The Club is under 24/7 video surveillance. These video recordings are subject to personal data protection laws and archived for seven days before being automatically deleted by the management system (Law of January 6, 1978, amended in 2004).

    29. Additional Services

    30. During the subscription term, the Club and/or external providers may offer the member specific services, including private lessons under the Club's supervision.

    31. These additional services are not included in the subscription price, and the member will be informed before participating in these specific services or lessons.

    32. Subscriptions

    33. A Muscle&Vous subscription grants you access to train in Muscle&Vous Clubs. If you do not use the contract or options, no refund will be issued, except in specific cases expressly stipulated in these terms and conditions.

    34. Prices include VAT, corresponding to the pre-tax amounts plus the applicable VAT rate. Muscle&Vous reserves the right to apply any new tax or VAT rate changes upon their entry into force.

    35. Our goal is to create a respectful environment in our Clubs where everyone adheres to the established rules. Any criminal offense or serious violation of third-party rights (including theft, physical or verbal assault, threats toward staff or other members, discrimination, failure to comply with hygiene and safety rules, willful damage to Club facilities, use or distribution of doping substances) may result in immediate expulsion from our Clubs without notice.

    36. Outside the Club’s reception hours, you may train autonomously with your badge, provided you are at least 18 years old. During these periods, staff will not be present, and you train at your own risk.

    37. If you allow unauthorized access to the Club, whether the person is a member or not (e.g., by letting them enter with you or using a QR code or Member Card that does not belong to them), Muscle&Vous may charge you the value of a session, plus a €5 administrative fee, and block your access until the fee is paid. Repeated violations of these terms and conditions and/or the Club’s internal regulations may result in contract termination.

    38. Engaging in sports carries risks. If you use our facilities, you must assess your own capabilities. We do not provide active supervision in the Club. You may seek assistance from a personal trainer or follow guidance provided in the Club, but you remain responsible for your training choices. If you have concerns about your physical condition, we recommend consulting a doctor or specialist to determine the most appropriate training method. Upon registration, you certify that you have been medically cleared for sports activities and take necessary health precautions regularly.

    39. In addition to the internal regulations, Muscle&Vous may implement additional health measures to comply with official guidelines. In such cases, Muscle&Vous may refuse access to anyone violating these health measures, regardless of their subscription status. Any breach of these rules may lead to immediate exclusion.
